Please read the following terms and conditions carefully before signing up or making a transaction. XPRINT SDN. BHD. (hereon referred to as "XPRINT") reserves the right to amend these dealership terms and conditions anytime, with or without prior notice to dealer (hereon referred to as "XPRINT DEALER"). As an XPRINT DEALER, it is your responsibility to know and periodically update yourself on these terms and conditions so as to fully understand your dealer rights and privileges.
1.1 Application for XPRINT DEALERSHIP is open to all people aged 18 years and above. However, approval of dealership is subject to the discretion of the management of XPRINT.
1.2 The management of XPRINT has the right to decline any individual Dealer status or to terminate a Dealer's dealership at its discretion without prejudice.
1.3 Employees of XPRINT are not eligible to become XPRINT DEALERS or participate in any XPRINT program.
1.4 Individuals who wish to join XPRINT as a Dealer must first complete the online registration form on the XPRINT website (www.xprint.co). Those who qualify as dealers are required to pay RM 200.00 as cash advance for their account and they will receive a free starter kit from XPRINT. Each XPRINT DEALER is entitled to 2 user accounts (Staff Account which is not allowed to view any price & Owner Account which has full permission) on XPRINT ePrinting Solution.
1.5 Cash Advance for registration must be paid up before Dealership activation. (For details in Reloading Cash Advance, please refer to Reloading Cash Advance (clause #3).
1.6 Newly registered XPRINT DEALERS will be given an official Dealer ID in order to make order transactions with XPRINT. This Dealer ID is non-transferable and is restricted to non-Dealers or other registered Dealers.
1.7 XPRINT DEALERS may terminate their dealership at any time (rm 10 for west malaysia or rm20 for east malaysia of processing fee will be deducted), and the balance in their account will be refunded in cheque according to registered name and the cheque will be sent by courier. However, dealers may need to return their free starter kit in a good condition to XPRINT otherwise the value of the free starter kit will be deducted from the balance. Those who decide to rejoin XPRINT will have to register and pay RM 200.00 again. As proof, all requests for termination of dealership must be sent via xcare message.
2.1 All printing of XPRINT products will be solely undertaken by XPRINT or its appointed vendor. XPRINT DEALERS are restricted from submitting any order for an XPRINT product to another printer/lithographer. If a XPRINT DEALER does not adhere to this condition, the management reserves the right to terminate his or her account and dealership as well as demand the return of all materials and information pertaining to XPRINT.
2.2 XPRINT DEALERS are solely responsible for their own customers including any transaction such as payment collection.
2.3 XPRINT does not accept direct order(s) from Dealers' customers.
2.4 All orders must be submitted online.
2.5 XPRINT reserves the right to reject any order that does not comply with the standard product specifications for output set by XPRINT and stated on the XPRINT website.
2.6 Once a XPRINT DEALER submits an order to XPRINT, it is considered a purchase. Once an order is in process stage, it cannot be cancelled or changed.
2.7 If XPRINT DEALER requests to cancel the order which is not in process stage, the deducted printing fee will be automatically added back into that XPRINT DEALER's account.
2.8 Order will not be processed if printing fee due exceeds the available funds in XPRINT DEALER's account. Should this happen, XPRINT DEALER is required to reload cash advance in order to proceed with the order.
2.9 XPRINT provides printing services to its XPRINT DEALERS only.
2.10 XPRINT does not provide hardcopy official receipts for purchases. XPRINT DEALERS can print out the official receipt for their completed orders from the MY ACCOUNT -> PRINT OFFICIAL RECEIPT page on the XPRINT ePrinting Solution.
2.11 The XPRINT DEALER Account is updated daily and XPRINT DEALERS can trace and print the statement of account from the XPRINT ePrinting Solution.
2.12 XPRINT DEALERS are required to have adequate cash advance in their account to make an order.
2.13 XPRINT shall take legal action to prosecute any XPRINT DEALER whom XPRINT suspect of making fraud deposits to XPRINT. XPRINT shall also terminate that dealer's dealership and bar him/her from further orders and use of XPRINT ePrinting Solution.
3. RELOADING CASH ADVANCE
3.1 As XPRINT uses a prepaid system, orders will be debited from XPRINT DEALER's cash advance. Cash Advance for dealership registration: XPRINT DEALERS must fax or email a copy of the bank deposit slip or funds transfer printout with the sign-up confirmation printout to XPRINT upon paying registration fee and/or reloading cash advance.
3.2 Cash Advance Reload methods:
(i) CASH BANK-IN to XPRINT SDN. BHD. and deposit into XPRINT bank account at Maybank: MBB 512661005867, Public Bank: PBB 3145136535.
(ii) CHEQUE made payable to XPRINT SDN. BHD. and deposit into XPRINT bank account at Maybank: MBB 512661005867, Public Bank: PBB 3145136535.
(iii) INTERBANK FUNDS TRANSFER to Maybank: MBB 512661005867, Public Bank: PBB 3145136535.
3.3 Activation of an XPRINT DEALER Account is subject to XPRINT management approval and successful clearance of cheque or cash deposit or funds transfer verification by the bank.
3.4 No minimum cash advance. For reloading cash advance, XPRINT DEALERS are required to fax the proof of reloading cash advance (bank-in receipt/statement) to XPRINT along with the Dealer ID or upload the proof via XPRINT EPRINTING SOLUTION.
3.5. XPRINT does not provide any hardcopy official receipt for XPRINT DEALER's Reloading Cash Advance. If XPRINT DEALER requires a statement of proof for Reloading Cash Advance, XPRINT DEALER can print the Official Receipt from MY ACCOUNT -> PRINT OFFICIAL RECEIPT?page on the XPRINT ePrinting Solution.
3.7 XPRINT DEALER's cash advance will be last for life.
4. PRICING / DELIVERY
4.1 All product prices (except Notepad & Notebook and unless stated otherwise) are based on full color printing (combination of CMYK).
4.2 There is no surcharge for normal delivery (except Sabah, Sarawak and oversea).
4.3 Exact reprints will be charged at the same price.
4.4 Services, products and pricing are subject to change from time to time.
4.5 All goods are delivered to XPRINT DEALERS by XPRINT's appointed courier service company. The goods that are sent by using Skynet Worldwide or City-Link Express might require additional 1 working day.
4.6 XPRINT will not liaise with any customer on XPRINT DEALER's behalf.
4.7 XPRINT will only entertain requests for rushed deliveries through its optional Rush Order and xrush order services. Request via order remark will not be entertained.
4.8 XPRINT will only provide delivery to XPRINT DEALER's registered address only.
4.9 All goods will be delivered directly to XPRINT DEALERS and can be collected from the XPRINT premise if XPRINT has been informed by XPRINT DEALER in the ordering form or profile has been set to self collect instead of courier.
4.10 Goods delivered to XPRINT DEALERS are packed according to XPRINT's standard packing. Once goods have left XPRINT premises, the goods are no longer the responsibility of XPRINT. If there are any discrepancies in the print quality or quantity of goods, XPRINT DEALERS are advised to lodge a complaint within 7 days from the invoice/do stated date via xcare (Complain Order) of eprinting solution. Any defected goods must be returned to xprint within 7 days from the invoice/do stated date.
5. ARTWORK FILE PREPARATION / TRANSFER
5.1 All artworks should be saved into individual files and according to each order.
5.2 All artworks must be sent to XPRINT through the Internet or by courier service. Please download artwork specifications from XPRINT ePrinting Solution to learn how to prepare file for ordering.
5.3 Due to the different color displays on various monitors, printed color of end product may differ from what appears on screen. Therefore XPRINT will not be responsible for color discrepancies in the end product as a result of XPRINT DEALER's reliance on the said color displays instead of XPRINT's CMYK COLOR CHART to set his/her colors for output.
5.4 XPRINT does not guarantee exact color match of XPRINT DEALER artwork or reprints (10% tolerance).
5.5 XPRINT does not guarantee the spot uv quality on the artwork which is less than 1pt, less than 100% black or on the edge of the artwork.
5.6 To avoid delays or inconveniences, XPRINT DEALERS are advised to check their artworks comply with all XPRINT standard specifications, setting and format.
5.7 In the event XPRINT detects that XPRINT DEALER's artwork does not comply with XPRINT artwork specifications, XPRINT will inform that XPRINT DEALER of the problem by phone or via xcare, xprint dealer may proceed the job with new artwork or cancel the order. XPRINT DEALER requires to amend their artwork and proceed with new artwork through XPRINT ePrinting Solution. Delivery date of order will be according to new order.
5.8 If XPRINT DEALER insists on proceeding to print without making recommended corrections highlighted, XPRINT DEALER does so at his/her risk. XPRINT cannot be held responsible for outcome of printout.
5.9 If XPRINT DEALER makes an error (selecting wrong quantity, material, product, finishing, or etc.) while placing his/her order, XPRINT DEALER must call in or "Query on order" to inform XPRINT Customer Service immediately. Once the order is in process stage, it cannot be cancelled or changed. XPRINT will not be responsible for any consequences arising from that XPRINT DEALER's failure.
5.10 XPRINT cannot be held liable for any consequences in the event an artwork error goes undetected.
5.11 No changes can be made to the artwork once the order in the process stages.
5.12 XPRINT DEALERS are required to resend artwork for every repeat order.
5.13 XPRINT is not responsible for XPRINT DEALER's copyright infringement of artwork content.
5.14 XPRINT will not print jobs that contain offensive literature or images.
6. GENERAL EXPECTATION ON PRINTING OUTCOME
6.1 Color reproduction or accuracy is generally subject to the limitations of gang run printing method. Therefore, the accuracy of color reproduction is NOT guaranteed as stipulated in our Color Disclaimer (clause #5).
6.2 XPRINT cannot be held liable for color variations between jobs printed in different batches at different ordering periods, and object missing due to overprint setting.
6.3 Tolerance of the cutting edge is +- 1.0 mm.
6.4 Tolerance of the die cut is +- 2.0 mm.
6.6 Tolerance of the folding is +- 1.0 mm.
6.7 Printed surface dotted with dirt shall not be more than 1 dot per 5cm2 and the dot shall not be bigger than 0.5mm.
6.8 Tolerance of the printing registration is +- 0.25mm.
6.9 Tolerance of the spot uv registration is +- 0.25 mm.
6.10 Tolerance of the hot stamping registration is +- 1.0 mm for all product and +- 1.5 mm for money packet .
6.11 For products with thin paper material such as money packet, art paper or simili with hot stamping finishing, stamping pressure may leave a stamping mark on the back of the product. xprint dealer shall notice this risk and xprint is not responsible for the stamping mark on the back.
7. COLOR DISCLAIMER
In order to provide a cheaper end cost to XPRINT DEALER and a quicker turnaround of the printed matter, XPRINT prints CMYK printing work together and marginal variations are to be expected from one print run to another.
As such, while XPRINT takes great effort to match colors as accurately as possible, XPRINT cannot be held liable for these marginal color variations or inaccuracies in the printed matter which may be more evident in reprints. A 100% exact color match is not possible (10% Color Tolerance).
8. PRODUCT REPRINT
If XPRINT DEALERS are not satisfied with any product, please lodge complaint within 7 days of invoice stated date via xcare "Complain order" of XPRINT ePrinting Solution.
Please include Dealer ID, picture and reason for dissatisfaction. If XPRINT DEALERS have not received their order within the specified delivery time, please contact XPRINT Customer Service not later than 3 working days from the date of the specified delivery time. XPRINT Customer Service department will try to review XPRINT DEALER complaint and work with XPRINT DEALER to meet XPRINT DEALER expectations.
PLEASE NOTE: XPRINT will only reprint the print job that fails to meet the conditions under the General Expectation on Printing Outcome (clause #6). However, XPRINT is not responsible for typing, image, or design errors introduced by XPRINT DEALER in the artwork/document creation process. In an effort to keep costs down and pass those savings along to XPRINT DEALER, XPRINT does not review artwork/documents for content or spelling. In no way shall either XPRINT or its subsidiaries, officers, directors, shareholders or employees be liable for any special incidents, indirect or consequential damages, mistakes or rejects of any kind whether or not the party has been advised of the possibility of such damages or rejects arising out of or related to an XPRINT DEALER's action(s). The terms and conditions constitute all terms and agreements relating to XPRINT DEALERS participating in the XPRINT DEALER Program.
9. XPRINT's INTELLECTUAL PROPERTY RIGHTS
The names, text, images, color bar and logos identifying XPRINT or XPRINT SDN. BHD. and their products and services are subject to copyright, design rights and trademarks of the XPRINT SDN. BHD. Nothing contained in these terms shall be construed as conferring by implication, estoppel or otherwise any licence or right to use any trademark, patent, text, design right or copyright of XPRINT or XPRINT SDN. BHD. Unless stated in written consent, a XPRINT DEALER or party has no right to produce, copy, disseminate the names, text, images and logos identifying XPRINT or XPRINT SDN. BHD. and their products and services.
If XPRINT suspects a XPRINT DEALER has violated this condition, the management reserves the right to terminate that XPRINT DEALER's account and their dealership as well as demand the return of all materials and information pertaining to XPRINT. XPRINT also reserves the right to take legal action against any XPRINT DEALER who misuses any trademark, patent, design right or copyright of XPRINT or XPRINT SDN. BHD.
10. CONTRIBUTIONS TO XPRINT
11.1 XPRINT collects information to process XPRINT DEALER's order, guide and enhance XPRINT DEALER online experience and to supply XPRINT DEALER with information in which XPRINT DEALER have expressed an interest.
11.2 At any time XPRINT DEALER can modify account details and email address from MY PROFILE -> CHANGE PROFILE on the XPRINT ePrinting Solution.
11.3 When XPRINT DEALER log in, XPRINT collect Dealer ID, password, and IP Address. This provides XPRINT with default details for XPRINT DEALER order processing and sets up security - so viewing of XPRINT DEALER account details, designs and order records is password protected.
11.4 To help XPRINT DEALER choose the right product and design to suit XPRINT DEALER purpose/business XPRINT ask XPRINT DEALER to make selections and choices - Only the design details are collected if XPRINT DEALER chooses to save or order.
11.5 When XPRINT DEALER order, XPRINT capture order details and files to process and fulfill XPRINT DEALER order. Invoicing address and shipping address are retained when XPRINT DEALER register as a dealer so XPRINT DEALER do not have to enter them again. Order details are retained so XPRINT DEALER can view the order records.
11.6 To assist XPRINT DEALER with promotions and marketing, and tailor XPRINT service to XPRINT DEALER needs XPRINT will ask XPRINT DEALER for feedback about XPRINT DEALER business and any information XPRINT DEALER may require. Supply of this information other then those that state otherwise is optional and not mandatory. All this data will be stored so XPRINT can effectively meet XPRINT DEALER needs.
11.7 Security - Access to XPRINT DEALER account data is password protected. Credit card details are processed by appointed merchant's secure server.
